1. Scope of services
Services may include secure data sanitisation, IT asset disposal, equipment decommissioning, equipment redeployment, mobile-device handling, destruction coordination, e-waste/recycling coordination, asset tracking, chain-of-custody documentation, certificates and reporting. The agreed scope is set out in the quote, service request, statement of work or other written confirmation.
2. Quotes, acceptance and changes
A quote is valid for the period stated on it. A contract is formed when the client accepts a quote or service request, instructs us to proceed, or otherwise accepts these Terms. If actual asset quantities, media types, condition, location, access requirements or requested services differ from the information provided, we may issue a variation or revised price before completing the affected work.
3. Client authority
The client warrants that it owns, controls or is otherwise authorised to release and instruct processing of all assets supplied to us. The client must not provide assets subject to an undisclosed legal hold, preservation obligation, ownership dispute or other restriction that prevents the authorised service.
4. Data backup and irreversible processing
The client is responsible for backing up or preserving any information it requires before releasing assets. Sanitisation, destruction and disposal are intended to be irreversible. Once an authorised process begins, data and devices may be permanently unrecoverable. We do not provide data-recovery services unless separately agreed in writing.
5. Processing pathway
We may assess assets and apply the agreed processing pathway according to device type, media type, condition, locks, service scope and risk. Where sanitisation is unsuccessful, unsuitable or not reasonably available, we may place the asset on hold and recommend an alternative pathway such as physical destruction. We will not intentionally change the agreed outcome without client approval where the change is material.
6. Collection, access and site conditions
The client must provide safe and lawful access to the collection location and disclose relevant site restrictions, loading requirements, access windows and hazards. Additional charges may apply for waiting time, re-attendance, remote travel, difficult access, urgent work or other requirements outside the quoted scope.
7. Asset identification and chain of custody
We will maintain reasonable records appropriate to the service. Records may include serial numbers, IMEI numbers, asset tags, internal asset IDs, counts, descriptions, photos, seal or container references, handover records and processing outcomes. If an identifier is unavailable, obscured or impractical to obtain, alternative evidence may be used.
8. Client assets and title
Unless otherwise agreed in writing, ownership of client assets remains with the client until the authorised disposal, recycling, resale, transfer or destruction pathway requires transfer of possession or title. By authorising disposal or destruction, the client authorises us to transfer the relevant assets to an approved downstream provider as reasonably required to complete the service.
9. Downstream providers
We may use specialist destruction, recycling, transport, technology or other service providers where reasonably required. We remain responsible for selecting providers appropriate to the agreed service, but any third-party certification or accreditation belongs to that provider and is not represented as a certification held by ZTRX Secure. Partner certificates may be supplied or referenced where applicable.
10. Locks, damaged devices and hazardous items
The client must disclose known encryption, BIOS/firmware locks, MDM controls, activation locks, swollen or damaged batteries, hazardous contamination or other conditions that may affect safe processing. Locked devices may require client action before reuse or sanitisation. Unsafe items may be isolated or referred to a specialist provider.
11. Certificates and reports
Certificates and reports are based on the asset identifiers, processing records, verification results and downstream evidence reasonably available to us. A certificate confirms the recorded service outcome; it is not a representation that ZTRX Secure holds a third-party certification or government approval unless expressly stated and supported by current evidence.
12. Fees, GST and payment
Fees are as quoted and are exclusive of GST unless stated otherwise. Additional charges may apply to approved variations and out-of-scope work. Invoices are payable by the due date shown on the invoice. The client must pay any undisputed amount when due. We may suspend further work where an invoice is overdue, subject to applicable law and any agreed contract terms.
13. Cancellation and delay
If the client cancels or materially postpones a confirmed service, we may charge reasonable costs already incurred or committed, including third-party charges, travel or specially procured services. We are not liable for delay caused by events outside our reasonable control, including access restrictions, transport disruption, equipment condition, third-party processing delays or safety issues.
14. Privacy and confidentiality
We will treat client job information, asset records and confidential information with reasonable care and use it only as required to deliver services, manage our business, comply with law or protect legitimate interests. Personal information is handled in accordance with our Privacy Policy. Our service is designed to avoid unnecessary access to data stored on client devices.
15. Security incidents and exceptions
If we identify a material loss, unexplained custody exception, suspected unauthorised access or other significant incident relating to a client job, we will record and manage the incident under our applicable procedures and notify the client where reasonably required by the circumstances or law.
16. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law. Where the law permits liability for a failure to comply with a consumer guarantee to be limited, our liability is limited, at our option, to supplying the relevant services again or paying the reasonable cost of having the services supplied again.
17. Other liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity or loss of data where the loss arises from an authorised sanitisation, destruction or disposal process. Nothing in this clause limits liability that cannot lawfully be limited.
18. Client indemnity
The client indemnifies us against third-party claims, costs or loss arising from the client not having authority to release or instruct processing of an asset, or from information supplied by the client being materially false or misleading, except to the extent the claim, cost or loss was caused or contributed to by our negligence, breach of contract or unlawful conduct.
19. Records
We may retain quotes, authorisations, chain-of-custody records, asset registers, processing records, certificates, invoices, incident records and related business records for operational, audit, insurance, accounting and legal purposes.
20. Disputes
A party that believes a dispute has arisen should notify the other party and provide reasonable details. The parties will first attempt to resolve the matter in good faith through direct discussion before commencing court proceedings, except where urgent relief or debt recovery is reasonably required.
21. Governing law
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the courts and tribunals of New South Wales and any courts entitled to hear appeals from them.
22. Updates and order of precedence
We may update these standard Terms from time to time. The version accepted for a particular job applies to that job unless otherwise agreed. If there is an inconsistency, a signed service agreement or specific written variation takes precedence over these Terms, followed by the accepted quote/service request and then these Terms.
